Acceptance of Terms

By downloading, installing, or using the Katachi Agent or Web Platform, you accept and agree to be bound by the terms and provisions of this agreement (the "Terms of Service"). If you do not agree to the Terms of Service, do not use the Service.

Account Usage & Hardware Binding

Katachi employs hardware-bound credentials to secure your account.

• One Device Per Registration: Each agent installation is cryptographically tied to the physical device. You may not copy or transfer credentials between machines.
• No Account Sharing: Because accounts are bound to hardware, account sharing is technically restricted and strictly prohibited.
• Responsibility: You are responsible for maintaining the physical security of the device running. Any unauthorized access resulting from your failure to secure your device is your responsibility.

Use License

To use the Service, you must be at least 18 years of age.

Permission is granted for personal or commercial purposes according to your subscription plan. Under this license, you may not:

• Modify, decompile, or reverse engineer the Katachi Agent software.
• Attempt to bypass the hardware-binding security mechanisms.
• Use the service to deploy malware or engage in any malicious activity.
• Remove any copyright or proprietary notations.

Intellectual Property

We and our licensors (if any) own all rights in and to the Service.

Payment Terms

Paid subscriptions are billed monthly or annually. All payments are processed securely through a PCI-compliant payment processor. Refunds are available within 14 days of the initial purchase, subject to our refund policy.

Service Availability

While we strive for high availability of our central servers, take note that:

• Local Agent: The availability of the remote agent depends on your device's power and network connection. We are not responsible for downtime caused by your hardware or network issues.
• Maintenance: We may occasionally interrupt service for security updates or maintenance. We will provide notice where feasible.

Disclaimer of Warranties

The software and service are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Katachi does not warrant that the service will be uninterrupted, secure, or error-free, or that defects will be corrected. Use of the service is at your own risk.

AI-Generated Output

The Service facilitates AI-generated code, suggestions, and automated reviews using third-party AI providers configured by you. You acknowledge and agree that:

• AI-generated output may contain errors, bugs, security vulnerabilities, or inaccuracies.
• Automated code reviews and security checks performed by AI within the Service are provided as a convenience and are not a substitute for independent human review, testing, and validation.
• You are solely responsible for reviewing, testing, and validating all AI-generated code before deploying it to any environment, including but not limited to production systems.
• Katachi does not guarantee the accuracy, completeness, security, or fitness for purpose of any AI-generated output or automated review.
• Katachi shall not be liable for any damages, losses, or security incidents arising from your reliance on AI-generated code or automated reviews without independent verification.

Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for third-party services. Your use of services provided by third-parties is governed by their terms and policies.

Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access for reasons including if you violate these Terms of Service or if required by law.

Upon termination, your right to use the Service will end. Sections that are intended to survive termination will survive.

Limitation of Liability

To the maximum extent permitted by applicable law, Katachi corporation and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data, revenue, or profits.
• Business interruption.
• Security breaches or unauthorized access to your systems.
• Damages resulting from compromised user devices or credentials.
• Third-party claims arising from your use of the service.

In no event shall Katachi's total liability exceed the amount you paid for the service in the month preceding the claim.

You acknowledge that the security of your local device is your responsibility. Katachi is not liable for security incidents resulting from compromised user hardware, malware on user devices, or unauthorized physical access to your equipment.

Privacy

Our collection and use of personal information is described in our Privacy Policy. The Privacy Policy is incorporated by reference into these Terms.

Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the service after changes constitutes acceptance of the new terms. We may notify you of significant changes via email or through the service.

General Terms

• Entire Agreement: The Terms of Service (and any referenced policies, including but not limited to the Privacy Policy and Security Policy) constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remainder will remain in effect.
• No Waiver: Our failure to enforce any provision is not a waiver.
• Assignment: You may not assign these Terms of Service without our consent.

Governing Law

These Terms of Service are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from or relating to these terms shall be resolved in the courts of Alberta, Canada.
